Veea / NovaGen - the headline is huge, but the wording matters

This is currently a potential merger, not a completed $750M deal. Veea and NovaGen have signed a term sheet for a potential business combination and say they are targeting a definitive agreement within the coming weeks. The proposed business would combine Veea’s edge-AI infrastructure with NovaGen’s regenerative medicine/longevity platform. GeoNova Capital has also signed a term sheet for an initial $10M investment and initial NovaGen Health Networks deployments are planned for Q4 2026. Management says the combined company could be valued at approximately $750M, based on internal projections and an independent valuation using those projections. That figure should not be confused with an agreed takeover price or guaranteed market value. The merger and GeoNova investment still require definitive documentation and closing conditions. There are also capital-structure risks worth remembering. Veea completed a 1-for-20 reverse split at the end of August after minimum-bid-price issues and has an ATM programme allowing it to sell up to about $4.35M of common stock. Speculation: the biggest near-term catalyst would be an actual definitive merger agreement that confirms valuation, ownership percentages, financing and closing conditions. A strong agreement could dramatically change how the market values VEEA. Conversely, delays, materially different terms or the deal falling apart could unwind much of the speculative premium. For me this remains an event-driven merger watch, with the definitive agreement far more important than the original headline.

Fill price

Anyone else get cooked by fill price? On my screen price was around 5.00 I got filled at 5.50, so I was immediately down 10%. Luckily it rallied to 6.23 and I exited with 13% overall gain but I may have not got lucky 😂
